1. Who we are and what this covers
These Terms of Use (the "Terms") are a binding agreement between you and Grinfi OÜ, a private limited company registered in Estonia, registry code 16546847, registered office Vesivärava tn 50-201, Kesklinna linnaosa, Tallinn, Harju maakond, 10152, Estonia ("we", "us", "Grinfi").
They govern your use of everything we operate (together, the "Service"):

Rules that apply to only one product are in the Annexes at the end: Annex A — Grinfi, Annex B — Telegrin, Annex C — Affiliate Programme. Where an Annex and the main body disagree, the Annex wins for that product.
This is a business service. By using it you confirm you are at least 18 years old and are acting for a business or profession, not as a consumer. If you do not agree to these Terms, do not use the Service.
2. Your account and your workspace
A workspace holds your campaigns, agents, leads and billing. Whoever creates it is its owner, and may invite others and set their roles; each role's permissions are shown in the app.
You are responsible for:
- everything done under your account and inside your workspace, including by people you invite;
- keeping your credentials safe, and telling us at [email protected] if you think they have been compromised;
- the accuracy of what you tell us.
We may suspend an account or workspace where we reasonably believe it is being used in breach of section 4, is harming other users or the Service, or where the law requires it. Where the cause can be fixed, we will tell you what it is and give you a chance to fix it.
3. Your content, our software
Your content stays yours. Texts, prompts, files, keywords, brand information and campaign settings you put into the Service ("Your Content") remain yours. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit and display Your Content only to provide and support the Service. We do not use it to train public AI models (see section 8).
Our software stays ours. The Service, its interface, workflows, agent templates, documentation and software are owned by Grinfi OÜ or its licensors and protected by copyright and other laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service under these Terms. You may not copy it, resell it, reverse-engineer it, or use it to build a competing product.
Feedback. If you send us ideas or suggestions, we may use them freely and without obligation to you. You keep all rights in your own products.
4. What you must not do
You agree not to use the Service to:
- send unsolicited bulk messages or otherwise breach anti-spam law (GDPR, ePrivacy, CAN-SPAM and local equivalents);
- contact people who have asked you to stop, or who are on a suppression list you must honour;
- distribute malware, phishing links, or illegal or infringing material;
- harass, defame, impersonate or defraud anyone;
- collect or process special categories of personal data — health, political opinions, religion, trade-union membership, sexual orientation, biometrics — or data about children;
- resell or redistribute data obtained through the Service outside your own business use;
- circumvent limits, quotas or access controls, or probe the defences of a platform we integrate with;
- use the Service in, or for the benefit of, a country or party subject to EU sanctions or export controls. We do not provide the Service in the Russian Federation or Belarus, and we support the sanctions regimes in force against them.
You are the sender. Messages the Service prepares or delivers go out in your name, from accounts you connect. You choose who is contacted and what is said, and you are responsible for that under the law that applies to you — including having a lawful basis to contact each person.
Breaking these rules may lead to suspension or termination without refund.
5. Money: credits, plans, trials, cancellation
5.1 What we charge for
The Service is metered in credits. One credit is charged for one message checked by AI, however many stages of analysis that check involves.
We do not charge credits for:
- delivering a lead anywhere — Slack, a webhook, Grinfi, our Telegram bot or any other destination;
- helper features that do not run an AI check on a message;
- searches on channels that do not bill us per search.
Current prices, what each plan includes, and any channel-specific costs are on the pricing page and in your workspace, and form part of these Terms.
5.2 Free plan, trial, paid plans
- Trial — 10 days, no card required, with a starting grant of credits.
- Free plan — a monthly credit allowance with reduced limits. Unused monthly credits do not roll over to the next month.
- Paid plans — a monthly allowance plus the option to buy more.
5.3 What happens to unused credits — please read
When your workspace moves to the Free plan, your credit balance is reset to the Free plan's monthly allowance. Credits left over from a trial, from a paid plan, or from a purchased top-up are not carried over and not refunded.
If you cancel or downgrade, that reset happens at the end of the period you have already paid for — your credits keep working until then. Before you confirm, the app shows you how many credits you have and the exact date they stop working.
We put this in plain sight because it is the term customers are most often surprised by.
5.4 Billing, renewal, cancellation
Paid plans are billed in advance and renew automatically until cancelled. You can cancel at any time in your account settings and keep access until the end of the period you have paid for.
Refunds. Payments are non-refundable — including for partial periods, for periods where the account was active but unused, and where a third-party platform restricted your use. This does not affect rights you may have under mandatory law.
Price changes. We may change prices. We will email you at least 30 days before a change applies to your plan. If you do not accept it, cancel before it takes effect.
Taxes. Prices exclude VAT and other taxes unless we say otherwise. You are responsible for taxes that apply to you and for giving us a valid VAT number where relevant.
Non-payment. If a payment fails we may pause your workspace after notice. Data in a paused workspace is kept as described in the Privacy Policy before it is deleted.
6. Third-party platforms — a risk that is genuinely yours
The Service works with platforms we do not control: LinkedIn, Telegram, Reddit, Meta (Threads), Slack, email providers and others.
Automation may breach their rules. Using our Service — or any automation tool — may violate the user agreement of a platform you connect. You use it at your own risk. We are not responsible for account restrictions, suspensions, shadowbans, rate limits or data loss imposed by any third-party platform, and no refunds are given because a platform restricted your account.
Platforms change. If a platform changes its terms, API or algorithms so that we can no longer retrieve or deliver data, features may be degraded, delayed or removed without liability to us. We will tell you as soon as we know.
Their terms still bind you. When you connect an account you remain bound by that platform's terms, and you confirm you are entitled to connect it.
7. Availability and support
We work to keep the Service available and to fix problems quickly, but we do not promise a specific uptime unless we have signed a separate service level agreement with you.
We carry out maintenance and try to schedule disruptive work outside business hours. Support is through [email protected] and the in-app chat, during business hours, in Ukrainian, Russian and English.
Beta features. Anything marked beta, preview or experimental is provided as is, may change or disappear, and is outside any commitment we make elsewhere.
8. Artificial intelligence
Parts of the Service use AI models operated by third parties (currently Anthropic and OpenAI) to classify messages, score relevance and draft replies.
- Output is probabilistic. It can be wrong, incomplete or unsuitable. You are responsible for reviewing anything before it is sent or published.
- Automatic mode is opt-in and confirmed. Before an agent can send without you, you confirm in the app that you understand messages will go out in your name without your review, and that you are responsible for what they say. You can keep a human in the loop at all times by using review mode instead, and you can switch automatic sending off at any moment.
- We do not train public models on your data. Our AI providers are contractually prohibited from using your content, or your prospects' content, to train their public models. We use commercial APIs, not consumer products.

9. API, MCP and integrations
We offer a public API and an MCP server. When you use them:
- keep your keys secret — you are responsible for calls made with them;
- respect published rate limits and do not work around them;
- do not use them to build a substitute for the Service or to resell access;
- we may change or retire endpoints, and will give reasonable notice of breaking changes.
10. Term, termination, and what happens to your data
These Terms apply for as long as you use the Service.
You may stop at any time by cancelling and deleting your workspace in settings.
We may terminate for material breach, for non-payment after notice, or if we stop offering the Service — in which case we will give reasonable notice and refund the unused part of any prepaid period.
On termination your access ends and your data is deleted on the schedule in the Privacy Policy, including the 30-day window during which you can cancel a deletion you started. Export your data before you delete it: settings offer a one-click export of the whole workspace.
Provisions that should survive by their nature — content ownership, disclaimers, limitation of liability, indemnity, governing law — survive termination.
11. Disclaimer
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or entirely secure, that AI output will meet your requirements, or that using it will produce any particular commercial result.
12. Limitation of liability
To the fullest extent permitted by law:
- we are not liable for indirect, incidental, special or consequential damages, including lost profits, lost business, lost data or reputational harm;
- our total aggregate liability for all claims is limited to what you paid us for the Service in the twelve (12) months before the event giving rise to the claim.
Nothing here excludes liability that cannot be excluded by law, including for fraud, wilful misconduct, or death or personal injury caused by negligence.
13. Indemnity
You will defend and indemnify us against third-party claims arising from your use of the Service in breach of these Terms or of applicable law — in particular claims about the messages you sent, the people you contacted, and the data you processed.
14. Data protection
How we handle personal data is set out in our Privacy Policy (grinfi.io/legal/privacy).
Where you use the Service to process personal data of your own prospects, customers and contacts, you are the controller and we act as your processor. That relationship is governed by our Data Processing Agreement (grinfi.io/legal/dpa), which forms part of these Terms.
15. Changes to these Terms
We may update these Terms.
- For material changes we will notify you by email or by a notice inside the Service, and the updated Terms take effect when we publish them. Continuing to use the Service after that means the new Terms apply; if you do not accept them, cancel.
- Price changes are the exception: we give you at least 30 days' notice before a new price applies to your plan (section 5.4).
- For minor and clarifying changes we update this page and the version number above.
16. General
- Force majeure. Neither party is liable for failures caused by events beyond reasonable control, including war, sanctions, third-party platform outages and infrastructure failures.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger or sale, on notice.
- Severability. If a provision is unenforceable, the rest stays in force.
- Entire agreement. These Terms, their Annexes, the Privacy Policy and the DPA are the whole agreement between us on this subject.
- No waiver. Not enforcing a right once does not waive it.
17. Governing law and disputes
These Terms are governed by the laws of Estonia, without regard to conflict of law rules. Please write to [email protected] first — we would rather solve it than litigate it. Failing that, the courts of Harju County, Estonia have exclusive jurisdiction.

Annex A — Grinfi (LinkedIn and email outreach)
What it is. Grinfi runs outreach sequences on LinkedIn and by email from accounts you connect, including AI-personalised messages and templates.
Connecting LinkedIn. You connect your own LinkedIn account. Automated use may breach LinkedIn's User Agreement — section 6 applies in full, and account restrictions are your risk.
Browser extension. The Grinfi extension reads limited profile information from LinkedIn pages you open — name, job title, company, profile URL — only when you interact with it, and sends it to your workspace so you can add a person as a lead in one click. It is covered by these Terms and by the Chrome Web Store rules. It does not read pages in the background, and we do not sell or monetise what it collects.
Email sending. You are responsible for the deliverability, authentication (SPF, DKIM, DMARC) and legality of the email you send, including a lawful basis for contacting each recipient and a working unsubscribe route where required.
Annex B — Telegrin (AI lead monitoring and reply)
What it is. Telegrin watches public conversations on Telegram, LinkedIn, Reddit and Threads for the topics you define, uses AI to judge which look like buying intent, and prepares — or, if you choose, sends — a reply.
B1. Connecting your accounts
Telegram. You connect your own Telegram account as an additional device, by QR code or by a code sent to your number. To keep that connection alive we store a session key, encrypted, and use it only to run the monitoring and sending you have configured. Disconnecting in settings invalidates it on our side.
Threads is connected through Meta's official API; Meta's terms apply and we support Meta's data-deletion callback.
LinkedIn and Reddit are searched without connecting your account.
Your responsibility. Automated use of a messaging account may breach that platform's rules and can result in limits or a ban. We pace conservatively — for Telegram, a daily cap on outgoing messages and randomised pauses between them — but we cannot and do not guarantee that your account will not be restricted. Section 6 applies in full.
B2. Modes: who presses send
- Copilot — the agent drafts and you approve every message.
- Autopilot — the agent sends by itself, within the limits you set. Turning it on requires an explicit confirmation that you accept responsibility for messages sent without your review.
In both modes the message goes out from your account, in your name. You are responsible for its content and for having a lawful basis to contact that person. We recommend switching on Autopilot only after you have read a meaningful number of drafts.
B3. Data about people who never signed up
Telegrin necessarily processes personal data of people who are not our users — the authors of public messages. You are the controller for that data and we are your processor. You must have a lawful basis for monitoring and for contacting them, and you must honour their objections. The Privacy Policy explains what is collected and for how long; the DPA governs our role.
You must not use Telegrin to monitor conversations you are not entitled to see, to build profiles of individuals beyond your legitimate business interest, or to process special categories of personal data.
B4. What credits are spent on in Telegrin
One credit per message checked by AI. Searching, delivering results, and messages filtered out before AI sees them are not charged. Some channels bill us per search or per post; where that changes what you pay, it is shown on the pricing page.
B5. Delivery
Leads can be delivered to Slack, a webhook, Grinfi, our Telegram bot or other destinations you attach to a campaign. Delivery costs no credits. Handing a lead over to Grinfi is free for Grinfi customers.
Annex C — Affiliate Programme
One programme covers both products: a referral to Telegrin and a referral to Grinfi both count, and the same person joining both counts twice.
C1. Commission
Your tier is your total number of referrals across both products, and sets your rate on both plan types:

Commission runs for 12 months from each referral's sign-up. On reaching 20+ referrals you unlock Lifetime: commission is paid for as long as your referral stays subscribed. Lifetime is permanent — it stays yours even if your active referral count later drops below 20.
"Monthly" and "annual" describe the plan your referral is on, not how often you are paid.
C2. Who you may refer
Anyone who could benefit from the products — except yourself and people who work at your company. Self-referrals and referrals from colleagues do not earn commission and may lead to removal from the programme.
C3. How you may promote
Paid advertising is not allowed. Promoting either product as an affiliate through Google Ads, Meta Ads Manager or any other paid advertising platform is prohibited. Accounts found doing this are removed from the programme and forfeit their balance.
You also may not: bid on our brand names, impersonate us or our staff, make claims about the products we have not made ourselves, send spam, or use misleading links or coupon-injection.
C4. Payment
Once a referral pays, the commission appears in your affiliate dashboard with a withdrawal button. After you request a withdrawal, the transfer is processed within 14 days (your bank may add time).
Refunds and chargebacks. If a referral receives a refund or reverses a payment, the matching commission is deducted from your balance. If it has already been paid out, it is offset against your next payout.
You are responsible for your own taxes on commission, and for giving us the details we need to pay you.
C5. Changing or ending the programme
We may change rates and rules for future referrals on 30 days' notice; a Lifetime status already earned is not withdrawn by such a change. We may end your participation immediately for a breach of this Annex, and end the programme itself on 30 days' notice, paying balances earned up to that point.
